Company representation

Notwithstanding that business law and company law are closely related to each other, they are not identical terms. Company law covers the legal status and organization of business associations and the set of rules governing the rights and duties of parties to legal relationships under company law Hungary. However, it is only part (but really a very significant part) of the legal regulations applicable to the operations of companies.

 

Company law, i.e. company law Hungary, in a narrow sense of the term covers the rules of procedure related to incorporation of companies and registration of the changes in their operations, as well as their supervision by the court of registry.

Business associations are incorporated by their registration into the company register and – unless  their operations are terminated at this point – they should meet numerous other obligations under corporate law, company law, labour law, etc. The company manager responsible for the company may prevent much inconvenience if he or she keeps the records required by statutory rules of operation (e.g. invitations to and minutes drawn up on general meetings or members’ meetings; register of resolutions; administration related to employees, etc.) and complies with his or her reporting obligation towards the court of registry in due course.

Administration of affairs related to company procedures and judicial supervisory over the company belong to the scope of authority of the court of registry of the tribunal competent at the company’s registered seat. Representation of the company in the procedure may only be performed by a representative duly authorized under company law Hungary. A legal representative may be a legal counsel employed by the company or a duly authorized attorney-at-law. By virtue of his/her position, a legal counsel is authorized to represent the company under company law Hungary. However, in default of a legal counsel, the company’s executive officer (e.g. managing director, general manager, etc.) may authorize an attorney-at-law to represent the company in form of a power of attorney.
